A business plan, as defined by Entrepreneur, is a “written document describing the nature of the business, the sales and marketing strategy, and the financial background, and containing a projected profit and loss statement.”

According to the Small Business Administration a good business plan guides you through each stage of starting and managing your business. You’ll use your business plan as a roadmap for how to structure, run, and grow your new business. It’s a way to think through the key elements of your business.

Business plans can help you get funding or bring on new business partners. Investors want to feel confident they’ll see a return on their investment. Your business plan is the tool you’ll use to convince people that working with you — or investing in your company — is a smart choice.

PRIVATE PLACEMENT MEMORANDUMS

The Private Placement Memorandum (PPM) is the document that discloses everything an investor needs to know to make an informed decision prior to investing in a Regulation D Offering. Unlike a Business Plan the PPM details the investment opportunity, disclaims legal liabilities and explains the risk of losses.

The PPM provides the investor with all of the prescribed data they will need to make an investment decision and includes actual documentation to effect the investment transaction. PPMs are designed as a stand-alone document - meaning that there need not be other information presented to the investor for them to make an accurate investment decision.

Private Placements or Private Stock Offerings are “private” equity/debt transactions and are considerably less expensive to complete than an initial public offering such as an IPO (for the purpose of raising capital).

SBA LOANS

SBA loans are small-business loans guaranteed by the SBA and issued by participating lenders, mostly banks. The SBA can guarantee up to 85% of loans of $150,000 or less and 75% of loans of more than $150,000.

The loan programs offered by the SBA are among the most visible elements the agency provides. The organization does not offer grants or direct loans, with the exception of disaster relief loans, but instead guarantees against default pieces of business loans extended by banks and other official lenders that meet the agency’s guidelines. The number one function of these loan programs is to make loans with longer repayment periods available to small businesses.

ANGEL / VENTURE CAPITAL

Angel investors are willing to take on the risk of a brand new firm, where venture capitalists prefer to become involved a little later down the line.
